Terms & Conditions

1. ACCEPTANCE OF TERMS These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and Yuvarra Limited (“Yuvarra”, “we”, “us”, or “our”), a company incorporated in the Cayman Islands (Company Registration Number: [●]) with its registered office at [●] and operations in Hong Kong.

By accessing or using:

  • the website at www.yuvarra.com (the “Website”);

  • any associated mobile applications, client portals, or digital platforms; or

  • any services provided by Yuvarra (collectively, the “Services”),

you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Accessibility Statement, which are incorporated by reference.

If you do not agree, you must immediately cease use of the Website and Services.

2. ELIGIBILITY You represent and warrant that:

  • You are at least 18 years of age and possess the legal capacity to enter into binding contracts;

  • You are not prohibited from using the Services under applicable law, including sanctions administered by the Cayman Islands, Hong Kong, the United States (OFAC), or the United Nations;

  • All information provided to Yuvarra is true, accurate, current, and complete.

3. SCOPE OF SERVICES Yuvarra provides [brief description of core services, e.g., investment management, financial advisory, digital asset custody, or fintech solutions] subject to:

  • Successful completion of onboarding, including Know Your Client (KYC), Anti-Money Laundering (AML), and suitability assessments;

  • Execution of separate client agreements where required;

  • Compliance with all applicable laws and regulations in the Cayman Islands and Hong Kong.

Yuvarra reserves the right to refuse, suspend, or terminate Services at its sole discretion, particularly where regulatory or risk-based concerns arise.

4. USER OBLIGATIONS You agree to:

  • Use the Website and Services solely for lawful purposes and in compliance with these Terms;

  • Maintain the confidentiality and security of your account credentials, access codes, and authentication devices;

  • Immediately notify Yuvarra of any unauthorized use or security breach;

  • Provide accurate and complete information during onboarding and throughout the client relationship;

  • Comply with all instructions, risk disclosures, and suitability requirements provided by Yuvarra.

You must not:

  • Interfere with, disrupt, or attempt to gain unauthorized access to the Website, Services, or related systems;

  • Use automated means (e.g., bots, scrapers) to access or extract data;

  • Transmit malicious code, viruses, or harmful content;

  • Engage in conduct that violates intellectual property, privacy, or financial regulations.

5. INTELLECTUAL PROPERTY All content on the Website and within the Services, including but not limited to:

  • Text, graphics, logos, trademarks, and trade names;

  • Software, source code, and proprietary algorithms;

  • Reports, market data, and analytical tools,

is owned by or licensed to Yuvarra and protected under copyright, trademark, and other intellectual property laws in the Cayman Islands, Hong Kong, and internationally.

You are granted a limited, non-transferable, revocable license to access and use the Services for personal or internal business purposes only. No other rights are conferred.

6. DISCLAIMERS

  • The Website and Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

  • Yuvarra does not warrant that the Website or Services will be uninterrupted, error-free, secure, or compatible with all devices or browsers.

  • Information provided (e.g., market data, research) is for informational purposes only and does not constitute financial, investment, or legal advice.

  • Past performance is not indicative of future results.

7. LIMITATION OF LIABILITY To the maximum extent permitted by law:

  • Yuvarra shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Website or Services, even if advised of the possibility of such damages.

  • Yuvarra’s total aggregate liability shall not exceed the fees paid by you to Yuvarra in the 12 months preceding the claim.

  • This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise).

8. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Yuvarra, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms;

  • Your violation of applicable law;

  • Your misuse of the Website or Services;

  • Any third-party claim related to your submitted content or data.

9. TERMINATION Yuvarra may suspend or terminate your access to the Website or Services immediately, without notice, if:

  • You breach these Terms;

  • Required by law, regulation, or regulatory authority (e.g., HKMA, CIMA);

  • Your account is inactive for 12 consecutive months; or

  • Continued access poses operational, security, or reputational risk.

Upon termination, all licenses and rights granted to you cease immediately.

10. GOVERNING LAW AND DISPUTE RESOLUTION These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the non-exclusive jurisdiction of the courts of Hong Kong.

For Cayman Islands–related matters, the laws of the Cayman Islands shall apply where mandated by statute.

11. FORCE MAJEURE Yuvarra shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

  • Acts of God, war, terrorism, or civil unrest;

  • Cyberattacks, system failures, or network disruptions;

  • Regulatory actions or changes in law;

  • Pandemics or public health emergencies.

12. AMENDMENTS Yuvarra reserves the right to modify these Terms at any time. Material changes will be:

  • Posted on the Website with the updated “Last Updated” date;

  • Notified to registered users via email where required by law.

Continued use of the Website or Services 30 days after posting constitutes acceptance of the revised Terms.

13. SEVERABILITY If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. NO WAIVER Failure by Yuvarra to enforce any right or provision shall not constitute a waiver of such right.

15. ENTIRE AGREEMENT These Terms, together with the Privacy Policy and any executed client agreements, constitute the entire agreement between you and Yuvarra and supersede all prior understandings.
